AEGIS — Privacy Policy

This Privacy Policy ("Policy") describes how Giroux Intelligence ("Company," "we," "us," or "our"), the operator of the AEGIS software platform accessible at deployaegis.com ("AEGIS," the "Service," or the "Platform"), collects, uses, discloses, retains, and safeguards information in connection with the provision of the Service to subscribing businesses ("Subscribers") and their end-customer callers ("End Users"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to the practices described in this Policy.

1. Scope and Applicability

This Policy applies to all data processed through the AEGIS Platform, including data captured via inbound telephone interception, outbound automated SMS routing, web-based Subscriber dashboards, and related APIs. This Policy does not apply to third-party websites, applications, or services that may be linked from the Platform.

2. Information We Collect

2.1 Subscriber Account Information

  • Business name, billing contact, mailing address, and Employer Identification Number (EIN) for A2P 10DLC brand registration.
  • Email address, hashed authentication credentials, and payment instrument metadata processed via our PCI-DSS compliant payment processor.
  • Service configuration data, including the Subscriber's forwarding telephone number(s), business hours, and SMS reply templates.

2.2 End-User Call & Messaging Data

  • Caller telephone number (ANI/Caller ID), call timestamp, call duration, and missed-call disposition.
  • Inbound and outbound SMS message content exchanged between the End User and the Subscriber via the AEGIS automated reply layer.
  • Carrier metadata necessary for A2P 10DLC message delivery and audit logging.

2.3 Technical & Diagnostic Data

  • IP address, browser type, device identifiers, and access logs for security, fraud prevention, and abuse mitigation.

3. How the Service Operates: Call Capture & SMS Routing

AEGIS provides a missed-call recovery infrastructure. When an inbound call placed to a Subscriber's designated telephone number is not answered within a configurable threshold, the Platform temporarily intercepts the call disposition event, captures the originating caller's telephone number, and routes an automated SMS response strictly on behalf of the subscribed business. AEGIS does not initiate marketing communications of its own accord; every message dispatched through the Platform is sent in the name of, and at the express instruction of, the Subscriber, who acts as the message sender of record under applicable A2P 10DLC and Telephone Consumer Protection Act ("TCPA") frameworks.

4. A2P 10DLC SMS Compliance & Mobile Data Sharing Restriction

Mobile Information Sharing Restriction. No mobile information collected through the AEGIS Platform — including, without limitation, mobile telephone numbers, SMS opt-in status, consent records, or message content — will be shared with third parties or affiliates for marketing or promotional purposes. All of the data-use categories described in this Policy exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties under any circumstance, except as strictly necessary to deliver the requested messaging service through our registered telecommunications aggregator, or as required by law.

AEGIS operates in accordance with The Campaign Registry ("TCR") A2P 10DLC requirements, CTIA Messaging Principles & Best Practices, and the TCPA. Subscribers are solely responsible for maintaining a lawful basis for messaging their End Users and for ensuring that their use of the Platform complies with all applicable rules, including the requirement to obtain prior express consent where required.

4.1 Categories of Mobile Data

  • Originator opt-in records — preserved exclusively for compliance audit and never disclosed for marketing.
  • Consent timestamps and method of capture — retained for the period required by applicable carrier and regulatory rules.
  • Message logs — accessible to the Subscriber for whom the message was routed and to authorized AEGIS personnel for support, fraud detection, and compliance review.

5. Opt-Out Mechanisms

Every automated SMS dispatched through AEGIS supports the industry-standard opt-out keywords mandated by CTIA and the TCPA. End Users may terminate all further messaging from a Subscriber's AEGIS-routed campaign at any time by:

  • Replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message received.
  • Upon receipt of any such keyword, the Platform will (i) immediately suppress further outbound messages to that telephone number from the originating Subscriber's campaign, and (ii) transmit a single confirmation message acknowledging the opt-out, as required by CTIA guidelines.
  • End Users may obtain help at any time by replying HELP, which will return the Subscriber's contact information and a reference to this Policy.

Standard message and data rates may apply. Message frequency varies based on the Subscriber's configured campaign behavior.

6. Use of Information

We use the information collected to: (a) operate, maintain, and improve the Service; (b) deliver missed-call SMS responses on behalf of Subscribers; (c) maintain compliance audit trails required by carriers, TCR, and regulators; (d) prevent fraud, abuse, and unauthorized access; and (e) communicate operational notices to Subscribers. We do not sell personal information, and we do not use End-User mobile data for cross-context behavioral advertising.

7. Disclosure of Information

We disclose information only as follows: (i) to telecommunications aggregators and carriers strictly to deliver the requested messaging service; (ii) to the Subscriber on whose behalf the SMS interaction was routed; (iii) to service providers under written confidentiality and data-protection obligations; (iv) to comply with legal process, lawful subpoenas, or regulatory inquiries; and (v) in connection with a corporate transaction, subject to continued protection of mobile opt-in data as described in Section 4.

8. Data Retention

Subscriber account data is retained for the duration of the subscription plus a reasonable archival period. Call metadata and SMS logs are retained for a rolling 24-month period for compliance and dispute resolution, after which records are deleted or de-identified. Opt-out suppression records are retained indefinitely to honor the End User's preference.

9. Security

We employ administrative, technical, and physical safeguards designed to protect the information we process, including transport-layer encryption, encryption at rest for sensitive fields, role-based access controls, and continuous monitoring. No system is impenetrable, and we cannot guarantee absolute security.

10. Children's Privacy

The Service is intended for use by businesses and is not directed to individuals under the age of 18. We do not knowingly collect personal information from children.

11. Your Rights

Depending on jurisdiction, End Users and Subscribers may have rights to access, correct, delete, or restrict the processing of their personal information. Requests should be directed to privacy@deployaegis.com. We will respond within the timeframes required by applicable law.

12. Changes to this Policy

We may modify this Policy from time to time. Material changes will be communicated by posting the updated Policy at deployaegis.com/legal and updating the "Last Updated" date. Continued use of the Service after such posting constitutes acceptance.

AEGIS — Terms of Service

These Terms of Service ("Terms") form a binding agreement between Giroux Intelligence ("Company," "we," "us") and the entity or person agreeing to these Terms ("Subscriber," "you"). By accessing, installing, or using AEGIS (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

AEGIS is a software-as-a-service infrastructure that intercepts missed inbound telephone calls placed to a Subscriber-controlled number and dispatches automated SMS responses on the Subscriber's behalf. The Service is provided strictly as a routing and automation layer; the Subscriber is the message sender of record and remains the controller of all End-User communications initiated through the Platform.

2. Subscriber Eligibility & Account

You represent that you (a) are a legally formed business entity or an authorized agent thereof; (b) have authority to bind the Subscriber to these Terms; (c) will register your brand and campaign with The Campaign Registry as required for A2P 10DLC messaging; and (d) will maintain accurate account, EIN, and billing information at all times.

3. Fees & Setup

The Service requires a non-refundable setup fee of one thousand five hundred U.S. dollars (US$1,500.00) and any recurring fees specified at checkout or in a written order form. All fees are exclusive of telecommunications pass-through costs, taxes, and carrier surcharges, which are billed at cost. Failure to pay may result in suspension or termination.

4. Subscriber Compliance Obligations

  • You will obtain and maintain all consents required under the TCPA, CAN-SPAM, state telemarketing laws, and CTIA / carrier rules prior to messaging any End User.
  • You will not use the Service to transmit content prohibited by carrier policy, including SHAFT-C content (Sex, Hate, Alcohol, Firearms, Tobacco, Cannabis) outside permitted use cases, fraudulent solicitations, or unlawful communications.
  • You will honor all opt-out requests immediately and will not attempt to circumvent the Platform's STOP-keyword suppression.
  • You will indemnify Giroux Intelligence for any breach of these obligations as set forth in Section 8.

5. SMS Opt-Out

You acknowledge that the Platform processes the keywords STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT as universal opt-out signals and that suppression of a telephone number once received is permanent unless and until the End User affirmatively opts back in. You shall not request manual override of any suppression record.

6. Acceptable Use

You shall not (a) reverse engineer or attempt to derive the Service's source code; (b) resell, sublicense, or expose the Service to third parties except as expressly permitted; (c) use the Service to harass, defraud, or harm any person; (d) attempt to overload, probe, or disrupt the Platform.

7. Service Availability & Telecommunications Disclaimer

The Service depends on third-party telecommunications carriers, aggregators, and public networks. We do not control, and cannot guarantee, the timeliness, delivery, or successful receipt of any voice call or SMS message. The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

8. Indemnification

You shall defend, indemnify, and hold harmless Giroux Intelligence, its officers, employees, contractors, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Service; (ii) your breach of these Terms; (iii) your violation of the TCPA, A2P 10DLC rules, CTIA guidelines, or any other law; or (iv) any content you transmit through the Platform.

9. Limitation of Liability

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GIROUX INTELLIGENCE, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY LOST REVENUE, LOST PROFITS, LOST LEADS, LOST BUSINESS OPPORTUNITY, MISSED CALLS, FAILED MESSAGE DELIVERY, OR ANY INTERRUPTION, OUTAGE, OR FAILURE OF TELECOMMUNICATIONS CARRIERS, AGGREGATORS, OR UNDERLYING NETWORKS, NOR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF GIROUX INTELLIGENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GIROUX INTELLIGENCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY SUBSCRIBER TO GIROUX INTELLIGENCE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100.00).

10. Term & Termination

These Terms remain in effect until terminated. We may suspend or terminate the Service immediately for breach, non-payment, or risk to the Platform or its users. Upon termination, your right to use the Service ceases; Sections 4, 5, 7, 8, 9, 11, 12, and 13 survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising hereunder shall be resolved exclusively by binding arbitration administered by JAMS in Wilmington, Delaware, on an individual (non-class) basis, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

12. Modifications

We may revise these Terms by posting an updated version to deployaegis.com/legal. Continued use of the Service after the effective date of any revision constitutes acceptance.

13. Miscellaneous

These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between the parties. If any provision is held unenforceable, the remaining provisions remain in full force. No waiver is effective unless in writing. You may not assign these Terms without our prior written consent.
